1. AGREEMENT TO TERMS
1.1 These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”) and Gigomy Pty Ltd (“Company,” “we,” “us,” or “our”), governing your access to and use of our website, platform, and services (collectively, the “Services”).
1.2 By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other applicable policies. If you do not agree to these Terms, you must not access or use our Services.
2. ELIGIBILITY
2.1 You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.
2.2 If you are using our Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. SERVICES PROVIDED
3.1 Gigomy Pty Ltd provides an online platform that connects businesses with service providers, including consultants and contractors, for professional services and business support (“Platform”).
3.2 We do not employ, endorse, or control any service providers listed on the Platform. Users engage with service providers at their own risk, and we are not responsible for the quality, reliability, or performance of any services provided.
3.3 Our verification process provides you with information which supports the experience and qualifications of the providers on this platform in order for you to connect with qualified candidates. However, engagement of consultants is at your own risk and appropriate verification and vetting processes prior to engagement is the responsibility of the user.
4. USER ACCOUNTS
4.1 To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information and to update it as necessary.
4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. We are not liable for any loss or damage arising from unauthorised account use.
4.3 We reserve the right to suspend or terminate accounts that violate these Terms or that are engaged in fraudulent or illegal activities.
5. PAYMENT AND FEES
5.1 Users may be required to pay fees for services provided through the Platform. All fees will be clearly disclosed prior to engagement.
5.2 Payments are processed through third-party payment providers. By making a payment, you agree to comply with the payment provider’s terms and conditions.
5.3 We are not responsible for any disputes arising between users and service providers regarding payments. Users should resolve payment disputes directly with the respective service provider.
6. PROHIBITED CONDUCT
6.1 Users agree not to: (a) Engage in fraudulent, misleading, or unlawful activities; (b) Use the Platform to harass, threaten, or defame others; (c) Attempt to access unauthorized areas of the Platform; (d) Introduce viruses, malware, or other harmful software; (e) Impersonate another user or misrepresent their identity.
6.2 We reserve the right to investigate and take appropriate action, including termination of accounts, against any user engaging in prohibited conduct.
7. INTELLECTUAL PROPERTY
7.1 The Platform, including all content, trademarks, logos, and intellectual property, is owned by or licensed to Gigomy Pty Ltd. Users may not reproduce, distribute, or modify any part of the Platform without our prior written consent.
7.2 Users may submit content, such as reviews and feedback, to the Platform. By submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content in connection with our Services.
8. DISCLAIMERS AND LIMITATION OF LIABILITY
8.1 The Platform is provided “as is” without warranties of any kind, either express or implied. We do not guarantee that the Platform will be error-free, secure, or uninterrupted.
8.2 To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform or interactions with service providers.
9. INDEMNIFICATION
9.1 You agree to indemnify and hold harmless Gigomy Pty Ltd, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
10. TERMINATION
10.1 We may suspend or terminate your access to the Platform at our sole discretion, with or without notice, for any reason, including violation of these Terms.
10.2 Users may terminate their accounts at any time by notifying us in writing. Termination does not relieve you of any outstanding obligations under these Terms.
11. DISPUTE RESOLUTION
11.1 Any disputes arising from these Terms shall be resolved through good-faith negotiations. If unresolved, disputes shall be subject to mediation or arbitration in Queensland, Australia unless otherwise required by applicable law.
11.2 Users agree to waive their right to participate in class-action lawsuits against Gigomy Pty Ltd.
12. GOVERNING LAW
12.1 These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
13. CHANGES TO TERMS
13.1 We reserve the right to update or modify these Terms at any time. Users will be notified of material changes via email or through the Platform.
13.2 Continued use of the Platform after changes to the Terms constitutes acceptance of the revised Terms.
